General Terms and Conditions of Sale – BINAME bv
These general terms and conditions apply to all our sales and services. By placing an order, the customer expressly accepts them, even if their own conditions deviate from them. Only specific conditions mentioned in our offers or order confirmations may prevail.
1. Orders and confirmations
Our offers are valid for 3 days, unless otherwise stated. The order is only definitive after acceptance of the offer and written confirmation from us, possibly subject to payment of a deposit or provision of a guarantee. Online orders are accepted according to the terms specified on our site.
2. Prices
Our prices are exclusive of VAT and may be changed without notice. For imported items, prices take into account the exchange rate, duties, and transport costs on the day of the order. Any increase in these costs before delivery is the responsibility of the buyer. An administrative fee of €15 applies to orders under €100 excluding VAT (excluding shipping costs).
3. Shipments
Free delivery in Belgium for any order over €300 net per shipment (excluding pallet deliveries). Any request for split delivery constitutes a separate shipment. For each delivery under €300, a flat fee of €19 is applied. Pallet deliveries are charged a minimum of €65. Express shipping costs are fully borne by the customer.
4. Transport
The goods travel at the buyer's risk, regardless of the mode of transport. The buyer must exercise any recourse against the carrier. Any visible damage (package, pallet, packaging) must be noted on the carrier's documents and illustrated with photos. Claims must reach us within 8 days of receipt.
5. Delivery times
The indicated times are purely indicative. Exceeding them cannot result in compensation, interest, or order cancellation.
6. Payment
Unless otherwise specified, our invoices are payable immediately by bank transfer. Any failure to pay by the due date automatically results in a formal notice and authorises us to suspend or cancel the order. Payments must be made without retention or set-off.
In the event of non-payment, a flat fee of 10% (min. €100) is due, as well as interest of 12% per annum. Invoices can be sent electronically.
7. Financial guarantees
If the buyer's solvency deteriorates, we may require guarantees, even after partial delivery. If the requested guarantees are not provided, we may cancel the order without compensation.
8. Acceptance of goods
The goods are deemed accepted at our warehouses. The customer may have the goods inspected before collection. In the absence of inspection or written refusal before shipment, the goods are considered accepted.
9. Guarantee
Our warranty is limited, at our discretion, to the repair, replacement or refund of parts that have a material or manufacturing defect. Any claim must be reported in writing within 7 days of discovering the defect. The warranty is excluded in cases of normal wear and tear, misuse, negligence or failure to comply with our instructions. The total price must be paid in full to benefit from the warranty.
10. Termination Clause
In the event of the customer's failure to meet any of their obligations, we may terminate the sale by simple registered letter. The goods must then be returned immediately. Any deposits paid shall be retained as compensation.
11. Expiry of Term
If the sale is terminated in accordance with Article 10, all sums due shall become immediately payable.
12. Assignment
The customer may not assign or pledge their claims against us without our written consent.
13. Jurisdiction
Any dispute shall be exclusively subject to the courts of Brussels.
14. Retention of Title
The goods remain our property until full payment is made. The risks are transferred to the buyer upon dispatch. In the event of resale, the buyer assigns us their corresponding claims.

The data, dimensions and illustrations in our catalogues and brochures are indicative and subject to changes or improvements at any time.
